Terms and Conditions for Maharaja Rudraksh Security Services (MRSS)
Introduction
1.1 Overview
These terms and conditions ("Agreement") govern the provision of security services ("Services") provided by Maharaja Rudraksh Security Services ("MRSS," "Company," "we," or "us") to its clients ("Client," "you," or "your"). By engaging with MRSS for security services, the Client agrees to be bound by these terms.
1.2 Scope of Services
MRSS provides a wide range of security services including, but not limited to, on-site physical security, armed/unarmed guards, event security, mobile patrolling, surveillance monitoring, and consultancy.
2. General Terms
2.1 Engagement of Security Personnel
MRSS will deploy personnel to perform the services in accordance with the agreement made with the Client. The Company reserves the right to change, replace, or reassign security officers as needed.
2.2 Client Responsibilities
The Client agrees to:
- Provide MRSS with accurate site details, access permissions, and any other necessary information.
- Ensure the safety and security of MRSS personnel while on duty.
- Cooperate with MRSS personnel and report any issues or emergencies promptly.
2.3 Duration of Service
Services will be provided for the duration specified in the Service Agreement. Either party may terminate the service with written notice as per the termination clause.
3. Payment Terms
3.1 Pricing
Pricing for security services will be established based on the nature of the security requirements, scope of service, and duration. The rates will be provided in the service agreement.
3.2 Billing and Payment
- Payment will be due within the terms specified in the Service Agreement, typically within 30 days from the date of the invoice.
- Late payments may incur a penalty as outlined in the Agreement, and the Company reserves the right to suspend services if payments are not received within the stipulated time.
3.3 Additional Charges
MRSS reserves the right to charge additional fees for:
- Overtime or extended service hours.
- Special equipment or security tools required.
- Travel expenses (for remote locations).
4. Employment Terms for Security Personnel
4.1 Hiring & Deployment of Security Guards
- MRSS will employ fully trained security personnel with appropriate certifications, including background checks and medical evaluations, before assignment.
- Guards will be deployed according to the Client’s requirements, and MRSS reserves the right to replace any personnel if necessary.
4.2 Workplace Safety
- The Company ensures that security personnel are provided with the necessary training, protective equipment, and health benefits to perform their duties safely.
- MRSS will comply with all applicable labor laws and regulations to ensure the welfare of its employees.
4.3 Employee Code of Conduct
Security personnel are expected to adhere to a strict code of conduct, including:
- Professionalism in all interactions.
- Confidentiality regarding client information.
- Non-engagement in unlawful activities.
- Adherence to ethical standards and Company policies.
4.4 Employee Rights & Welfare
- Employees are entitled to fair wages, benefits, and a safe working environment as per the applicable employment laws.
- MRSS provides support in case of work-related injuries or accidents, as required by law.
4.5 Termination of Employees
- MRSS may terminate an employee for misconduct, breach of contract, or failure to meet performance standards.
- The Client must notify MRSS immediately if they wish to request a change of personnel due to unsatisfactory performance.
5. Confidentiality and Data Protection
5.1 Confidentiality of Client Information
MRSS agrees to maintain the confidentiality of all Client information, including sensitive data, and will not disclose it to third parties without prior consent, unless required by law.
5.2 Employee Confidentiality
Security personnel must sign a non-disclosure agreement (NDA) to protect confidential client information and ensure that no sensitive data is shared or misused during or after their employment.
5.3 Data Protection
MRSS complies with applicable data protection laws and ensures that any data collected in the course of providing security services is securely stored and handled.
6. Liability and Indemnity
6.1 Company Liability
MRSS will not be held liable for:
- Loss, damage, or theft of property beyond the reasonable control of security personnel.
- Acts of force majeure, including natural disasters, civil unrest, or other events beyond the Company's control.
- Negligence or misconduct of the Client or third parties.
6.2 Indemnification
The Client agrees to indemnify and hold MRSS harmless from any claims, damages, or liabilities arising out of the Client’s failure to provide necessary information or from acts or omissions by the Client, its employees, or agents.
6.3 Limitations of Liability
MRSS's liability to the Client for any cause, whether in contract, tort (including negligence), or otherwise, is limited to the total fees paid by the Client under the Agreement during the preceding three months.
7. Termination
7.1 Termination by Client
The Client may terminate the service with prior written notice (as stipulated in the Service Agreement) for any reason, including breach of contract or non-performance by MRSS.
7.2 Termination by MRSS
MRSS may terminate services if:
- The Client fails to pay fees as outlined in the Service Agreement.
- The Client breaches the terms of the agreement, endangering the safety or wellbeing of MRSS personnel or violating laws.
- Force majeure situations make service provision impossible.
7.3 Effect of Termination
Upon termination, any outstanding payments owed to MRSS by the Client must be paid immediately. MRSS will ensure that all proprietary materials, documents, and information are returned to the Client.
8. Dispute Resolution
8.1 Resolution Process
In the event of a dispute between MRSS and the Client, both parties agree to first attempt to resolve the issue through direct negotiation.
8.2 Arbitration
If the dispute cannot be resolved through negotiation, both parties agree to submit the matter to arbitration, governed by the laws of [insert applicable jurisdiction]. The decision of the arbitrator will be final and binding.
9. Miscellaneous
9.1 Force Majeure
MRSS will not be held responsible for any failure to perform services due to events outside its control, including but not limited to natural disasters, strikes, or civil disturbances.
